Subscription Terms and Conditions

General Subscription Terms and Conditions

The following general subscription terms and conditions (hereinafter the “Subscription Terms”) apply to all subscription products (hereinafter the “Subscription”) provided by Nordiske Medier A/S, company registration no. (CVR) 10150825, Østre Havnegade 63-65, 9000 Aalborg (hereinafter “Nordiske Medier”).

1. Subscription
1.1. To take out a Subscription with Nordiske Medier, the customer (hereinafter the “Customer”) must be at least 18 years of age. By taking out a Subscription with Nordiske Medier, the Customer accepts these Subscription Terms.

1.2. Nordiske Medier’s Subscription is an ongoing subscription that is automatically renewed once a year. The Subscription continues until terminated by either the Customer or Nordiske Medier.

1.3. A free trial subscription will not be renewed automatically.

1.4 When you subscribe to Nordiske Medier, you are automatically signed up to receive our newsletter. You can unsubscribe from the newsletter at any time using the link included in each newsletter. Unsubscribing from the newsletter does not affect your subscription.

2. User Login
2.1. Digital Subscriptions and all digital tools and products require the creation of a personal user login in order to access the services.

2.2. The Customer may take out a Subscription to any of Nordiske Medier’s paid media products or by contacting Nordiske Medier. An overview of all Nordiske Medier’s paid media products is available here, or you can contact Customer Service by phone on +45 72 28 69 70. Once the Subscription has been created, the Customer will first receive an email containing an activation link, followed by an email containing a password. The Customer’s email address serves as the username. The password can be changed after the Customer’s first login.

2.3. A user login consists of the following mandatory information: name, address, company, email address, telephone number and a personally selected password. The user login is personal and may only be used on 1–2 devices, which may be replaced on an ongoing basis, and solely for personal use. The personal login may not be shared or reproduced without prior agreement, in accordance with applicable copyright law. Misuse may result in a claim for damages and the Customer’s access to the Subscription being blocked.

2.4. If multiple users within an organisation require access, a corporate subscription solution (hereinafter a “Corporate Solution”) must be established. Nordiske Medier offers tailored solutions that provide access for the entire organisation.

2.5. In the event of lost login details or any questions, Nordiske Medier can be contacted at abonnement@nordiskemedier.dk or by phone on +45 72 28 69 70.

3. Prices
3.1. Current prices are available at any time on the website of the product to which the Customer subscribes. Alternatively, pricing information can be obtained by contacting Customer Service here.

3.2. Following the expiry of a promotional or campaign period, the Subscription will automatically renew at the then-current subscription price. This does not apply to free trial subscriptions.

3.3. Nordiske Medier may change the subscription price from time to time in accordance with Section 7 concerning notice and termination. Nordiske Medier may, among other things, change the subscription price as a result of external costs.

3.4. Price changes will always be announced in connection with the relevant subscription product. Notice will be provided in the publication details of the print edition and online at least one month before the change takes effect.

Nordiske Medier reserves the right to correct typographical and technical errors that may result in incorrect pricing information.

4. Payment
4.1. All prices are stated in Danish kroner and exclude VAT unless otherwise specified. Standard payment terms are net 14 days. Nordiske Medier invoices the Customer in advance. Invoices are normally sent by email. All invoices must be paid no later than the due date.

4.2. If the Customer requests a paper invoice sent by ordinary post, an invoicing fee of DKK 49 per invoice will apply.

4.3. Subscriptions that include print products are subject to a print surcharge covering the costs of printing and distributing newspapers.

4.4. Subscriptions that include print products are subject to postage corresponding to the cost of shipping abroad, including to Greenland and the Faroe Islands.

4.5. Subscriptions that include online access are activated in accordance with the time of ordering. Issuing an invoice entails a processing time of 1–2 business days.

4.6. In the event of late payment, Nordiske Medier is entitled to charge default interest from the expiry of the payment deadline until payment is made, in accordance with the provisions of the Danish Interest Act. In accordance with the Danish Interest Act, Nordiske Medier is also entitled to charge reminder fees (DKK 100 per reminder, up to a maximum of DKK 300), debt collection fees and statutory compensation for late payment. Failure to pay does not release the Customer from the obligation to pay and will not be regarded as termination of the Subscription.

4.7. Nordiske Medier reserves the right to suspend, in whole or in part, the provision of future services and, where applicable, terminate agreements concerning future services if the Customer fails to make payment on time.

5. Right of Withdrawal
5.1. The Customer has a 14-day right of withdrawal. The withdrawal period begins when the Customer receives the order confirmation for the purchase. If the Customer wishes to exercise the right of withdrawal, Nordiske Medier’s Customer Service must be notified before the withdrawal period expires.

5.2. If the Customer has received a physical product or has had digital access to articles and the e-paper during the withdrawal period, the Customer must pay for the period during which access to the Subscription was available.

6. Termination
6.1. Either Party may terminate the Subscription by giving written notice no later than three months before the end of the subscription period. If the Subscription is not terminated at least three months before the end of the subscription period, a new 12-month commitment period will commence, as the Subscription is renewed on an ongoing basis. The Customer is responsible at all times for terminating the Subscription within the applicable notice period.

If the Subscription is not terminated in due time, the Customer will not receive a credit for the renewed subscription period.

6.2. Termination must be made by sending an email to abonnement@nordiskemedier.dk stating the Customer’s customer number and name. Failure to pay does not constitute valid termination.

7. Changes to Subscription Products or Services
7.1. Nordiske Medier may from time to time change the composition, structure and content of subscription products/services. Such changes may, for example, result from editorial restructuring or decisions, changes to services or content, termination of existing partnerships, development of new products, services or content, or the phasing out of products, services or content.

7.2. The applicable standard subscription price is available on the website at all times. Changes to the Subscription will be notified at least one (1) month before they take effect. The Customer may then terminate the Subscription with effect from the date on which the change takes effect.

8. Changes to the General Subscription Terms
8.1. Nordiske Medier may amend the applicable Subscription Terms at any time. In the event of material changes, Nordiske Medier undertakes to notify the Customer at least one (1) month before the changes take effect.

8.2. Nordiske Medier may amend the Subscription Terms without notifying the Customer if the changes are beneficial to the Customer.

8.3. Nordiske Medier cannot guarantee that the product supports all browsers and operating systems and does not guarantee the availability of the Subscription through third-party websites. To ensure the best possible reading experience, Nordiske Medier recommends that the Customer always uses the latest software updates.

8.4. The Subscription and the products included in the Subscription will be available through the Customer’s profile during the subscription period. No compensation will be provided for unavailable or delayed access to Nordiske Medier’s online products included in the Customer’s Subscription.

9. Service Messages and Information
9.1. As part of the Customer’s relationship with Nordiske Medier, including when taking out a Subscription and creating a user login, the Customer will, where necessary, receive emails from Nordiske Medier regarding technical issues, payment and general service notifications.

The Customer will also receive welcome emails in connection with the purchase, as well as newsletters and information about benefits and opportunities associated with the Subscription.

The Customer may opt out of additional marketing-related communications at any time by using the unsubscribe option provided in the relevant email. The Customer may also contact Customer Service on +45 72 28 69 70 or at abonnement@nordiskemedier.dk to subscribe or unsubscribe.

10. Privacy Policy
10.1. Reference is made to Nordiske Medier’s privacy policy in force at any given time. Read more here.

11. Copyright
11.1. Text, graphics, images, audio and other content owned by Nordiske Medier are protected by copyright law and may therefore only be used for private reading and viewing. Nordiske Medier reserves all rights to the content, including the right to use the content for text and data mining purposes, cf. Section 11b of the Danish Copyright Act and Article 4 of the DSM Directive.

11.2. The Customer agrees to respect all applicable copyrights. The Customer is responsible for ensuring that its employees comply with Nordiske Medier’s rights when using the Subscription and must ensure that its employees are expressly informed that Nordiske Medier’s content is protected by copyright and may only be used in accordance with the terms of the subscription agreement.

12. Limitation of Liability and Force Majeure
12.1. Nordiske Medier is liable for damages in accordance with the general rules of Danish law, subject to the limitations set out below. However, these limitations apply only insofar as the loss cannot be attributed to gross negligence or wilful misconduct on the part of Nordiske Medier.

12.2. Nordiske Medier accepts no liability for losses arising from unavailable or delayed delivery of either printed or digital publications, technical errors, distribution delays, internet connectivity issues, processing of payment data or losses incurred in any other manner.

12.3. Nordiske Medier disclaims any liability for losses caused by a Customer using digital publications without complying with the applicable technical specifications and supplementary instructions.

12.4. Nordiske Medier is not liable for errors or defects in purchased publications or articles, including errors in data, etc., unless it can be demonstrated that the error is attributable to wilful misconduct or gross negligence on the part of Nordiske Medier.

12.5. If Nordiske Medier is unable to fulfil its obligations under this agreement solely due to circumstances beyond its control or which it could not reasonably have foreseen, including force majeure, Nordiske Medier shall bear no liability and shall be held harmless from any claims for damages or other consequential claims. Such circumstances include, but are not limited to, fire, war, civil unrest, strikes, lockouts, natural disasters, weather conditions, government orders or similar circumstances that Nordiske Medier could not reasonably have been expected to foresee when entering into the subscription agreement or could not have avoided or overcome without incurring substantial costs.

12.6. If a situation arises in which neither the printed nor the digital edition of a newspaper can be delivered, regardless of the cause, compensation will only be relevant if both the printed and digital editions cannot be delivered for more than two consecutive issues.

12.7. Under no circumstances shall Nordiske Medier be liable for loss of profit, loss of business or other indirect losses.

13. Breach of the Subscription Agreement
13.1. If either Party materially breaches the subscription agreement, the other Party is entitled to terminate the subscription agreement in writing with immediate effect.

13.2. Material breach by the Customer includes, but is not limited to, any infringement of Nordiske Medier’s copyright and text and data mining contrary to Section 11, sharing, lending or otherwise making the Customer’s login available to a third party, sharing or redistributing content, commercial or business use of the subscription products/services, and failure to make payment.

13.3. If the Customer fails to pay for the Subscription in accordance with Section 4, Nordiske Medier is entitled, upon 10 days’ prior notice, to suspend access to the Subscription. The Customer’s access will only be reinstated once all overdue amounts have been received by Nordiske Medier.

13.4. The Customer’s access is personal, and any form of sharing the Subscription or sharing links with third parties will be considered a material breach of the subscription agreement unless the Customer has a Corporate Solution.

13.5. If Nordiske Medier terminates the Subscription as a result of the Customer’s breach, including non-payment, Nordiske Medier is entitled to retain any advance payment already made. If the Customer terminates the Subscription as a result of Nordiske Medier’s breach, termination shall apply prospectively only, and the Customer may claim a refund of payments from and including the month in which the breach occurs.

14. Complaints and Defects
14.1. In the event of a complaint from the Customer, the Customer and Nordiske Medier shall attempt to resolve the matter amicably. Complaints may be submitted to Customer Service. If the Customer and Nordiske Medier are unable to reach an agreement, the matter may be referred to the Danish Consumer Complaints Board.

14.2. As of 17 February 2020, complaints concerning goods or services must be submitted to the Centre for Complaint Resolution, Nævnenes Hus, Toldboden 2, 8800 Viborg. Complaints may be submitted to the Centre for Complaint Resolution via the Nævnenes Hus complaints portal.

14.3. With regard to defects in products, Nordiske Medier refers to the provisions on defects under the Danish Sale of Goods Act.

15. Governing Law and Jurisdiction
15.1. Any dispute between Nordiske Medier and the Customer shall be governed by Danish law. This choice-of-law provision does not include the Danish rules of private international law. Any dispute shall be settled by the District Court of Aalborg as the agreed venue.

17. Special Terms for Specific Products
The following provisions set out special terms applicable to specific products. In the event of any inconsistency between these special terms and the general terms, the special terms shall prevail.

Corporate Solution

17.1. A Corporate Solution is defined based on the specific needs of the company/organisation in relation to one or more media products.

17.2. A separate agreement – a Corporate Agreement – will be prepared for the specific solution provided to the company. The agreement will be sent to the Customer after it has been concluded.

17.3. A Corporate Agreement ensures that all authorised employees, or a defined number of employees, can use the individual media products in connection with the Customer’s business.

17.4. A Corporate Agreement ensures that each employee can have their own personal login with access to all restricted content, digital tools, personalised monitoring, financial statements, etc.

17.5. A Corporate Agreement based on IP authentication provides the company with unrestricted access to one or more media products without the use of a personal login.

17.6. A Corporate Agreement with IP authentication is considered an intranet agreement. Connection to an extranet is not permitted.

17.7. A Corporate Agreement with IP authentication allows the Customer to distribute articles internally within the company and to compile specific articles using deep links directly to the relevant articles, in full text or PDF format, via internal emails/newsletters.
